License Agreement
Commercial software licensing terms defining permitted use, restrictions, ownership, and compliance obligations.
1
Definitions
"Software" means SherAlgo products, binaries, updates, and documentation. "Licensee" means the purchaser or legal entity using the Software. "Plan" means the purchased entitlement scope.
2
License Grant
Subject to payment and compliance, SherAlgo grants a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to use the Software solely for internal trading operations under the purchased plan.
3
License Scope
License rights are limited by plan terms, including number of permitted MT5 accounts, duration, and any update/support entitlement. Use outside scope requires written approval.
4
Restrictions
Except where prohibited by law, you may not reverse engineer, decompile, disassemble, modify, copy, redistribute, lease, resell, sublicense, or expose Software components to unauthorized users.
5
Ownership and IP Rights
SherAlgo and its licensors retain all intellectual property rights in the Software and materials. This Agreement grants usage rights only and transfers no ownership.
6
Activation and Technical Controls
Software may include license activation, account binding, and anti-abuse controls. Circumventing technical protections or attempting unauthorized activation is prohibited.
7
Support and Updates
Support and update availability depend on your plan terms. SherAlgo may issue patches, changes, or feature updates at its discretion to maintain stability, security, or compliance.
8
Compliance and Audit Signals
SherAlgo may use technical telemetry limited to licensing and integrity verification. Licensee agrees to cooperate in good faith with requests needed to validate license compliance.
9
Warranty Disclaimer
The Software is provided on an "as is" basis without warranties of uninterrupted operation, broker compatibility in all environments, or specific financial outcomes.
10
Liability Limitation
To the maximum extent permitted by law, SherAlgo is not liable for indirect, consequential, special, or punitive damages, including lost profits, trading losses, or data loss.
11
Termination
This Agreement remains in effect for the licensed term unless earlier terminated for breach. Upon termination, Licensee must cease use and remove Software copies in its control.
12
Governing Law
This Agreement is governed by the applicable law selected by SherAlgo in accordance with mandatory legal requirements of relevant jurisdictions.
